Explanation of LLC - What is an LLC, Why Create One, and How to Do Setup?
The limited liability company option still generates questions and confusion among business owners, entrepreneurs and investors, and that's too bad. One can rather easily provide an explanation of the LLC by answering three questions: what is a limited liability company, why should one contemplate the LLC option, and how does someone setup an LLC or limited liability company:
What is an LLC?
An LLC is a legal fiction created when someone (perhaps you) files some paperwork with the appropriate state agency asking for permission to create a new limited liability company. If the state grants you permission-which it will if you do the paperwork right--you or you and your partners now own an entity that can do a bunch of stuff that, normally, only human beings can do.
This sounds confusing, but consider the fact that your dog can't sign contracts. Nor can your dog own property. Nor can your dog earn income or borrow money.
In a similar fashion, a comfortable leather chair that sits in your living room also can't do these sorts of things--sign contracts, own property, earn income, borrow money and so forth. Generally speaking, only people can do these types of things.
The LLC however is an exception to this general rule. An LLC, once it exists, can sign contracts. The LLC can own property. The LLC can also earn income and borrow money--and pretty much do all of the business-y things that a regular human being can do.
Why Setup an LLC?
People setup LLCs, or limited liability companies, for two reasons: liability protection and tax planning.
The liability protection angle is perhaps the easiest to understand: If you operate some business or hold some investment, you can be liable legally for bad things that happen in the business or in the investment by virtue of your ownership. If the business borrows money and then can't repay the money, for example, you by simple virtue of your ownership may be forced to pay off the borrowed money.
If you own a business or investment through an LLC, however, you aren't liable for the debts or obligations of the LLC merely because you're an owner or co-owner. In other words--and this is the part of all this that's fiction--state laws will say, "Oh, no, it's not Joe that owes the money. It's Joe's LLC... "
Note: A corporation legally protects business owners and investors in the same manner that a limited liability company. The people who own the shares in the corporation are not simply by virtue of owning those shares legally obligated for the debts of the corporation. As with an LLC, the law considers the corporation to be legally separate person.
Limited liability companies also produce some unique tax planning benefits--specifically the ability to have an investment or business taxed in whatever saves the most tax. For example, an LLC can be disregarded as a separate taxpayer if that makes sense (which means its income and deductions get reported on its owner's tax return). And an LLC can be treated as a regular corporation or as an S corporation for tax purposes.
How Does Someone Create an LLC?
Procedurally, you create an LLC by filing articles of organization, also sometimes know as articles of formation, with the secretary of state in the state where you'll operate your LLC. For instance, to create an LLC in California, you file articles of organization with the California secretary of state.
The articles typically name the LLC, identify what the LLC will do, and name the registered agent (a real human being) whom the state can contact if it has questions.
Tip: Most though not all states' secretary of state websites provide downloadable forms you can use to provide the articles of llc formation information.
In addition to the articles, people usually create an operating agreement. Akin to a partnership's partners agreement or a corporation's bylaws, the LLC operating agreement provides the rulebook for the limited liability company's activities and specifies how the owners of the LLC operate the LLC.
Finally, in cases where the LLC will employ people or will have multiple owners, the LLC needs a taxpayer identification number from the Internal Revenue Service.
Experienced entrepreneurs and investors as well as small business people operating on a tight budget can often setup an LLC on their own. However, commonly business people and entrepreneurs also work with a paralegal service (if all they do is document preparation) or with a local attorney or accountant (if they need legal or tax advice).

Furthermore, even those who don't buy might be interested in other products that you will offer in the future. You'd like the chance to continue to give this interested group of people, your opt-in list, information of value and expose them to other products that would serve them. That's the theory of an email list.
The way to do opt-in list building is by offering an information product (an e-book or a subscription to a newsletter) on a "squeeze" page where they must give their name and email to get your offer. Or there might be a registration form on a home page of a website to get the product.

· A List Is a Beeper to Remind Your Audience That You Are Available to Serve Them. It takes time to build a relationship. The saying, "Out of sight, out of mind" is still true of people. Hence, your opt-in list provides you with a way of regularly getting the attention of your loyal audience of customers. You keep reminding them of products you offer and of value you want to give them.
· A List Is a Key That Opens the Door to Success. You're starting an internet business. Your goal is to make money with the hope of one day replacing your job income and permitting you to retire or some such goal. The two most important assets for being successful in your home based internet business is first "information" and second "your email list". Without information you have nothing to offer people to make them want to be on your email list. But just as important, you may have lots of good information, but if you have no list, or a small list, or even a mediocre large list you still can't make much money. So your opt-in list building is your key to making good money on the internet.

Chocolate And Your Dogs Health -- What You Should Know
Chocolate. Who can resist it?
Your dogs health depends on it! (resisting, that is). We humans get to indulge because most of us know when to stop. But your dog won't quit after just a few. Give her a chance and she'll down the whole box of Godivas in one gulp. So on Valentine's Day, you're actually being kind to your best buddy if you eat all the chocolates yourself!
**Why is chocolate harmful to a dogs health?**
Chocolate, as you know, is made with cocoa beans. And cocoa beans contain methylxanthine alkaloids in the form of theobromine and caffeinea, which are toxic to dogs. Chocolate can also contain high amounts of fat which can put your dogs health in jeopardy as well.
**How Much is Too Much?**
Though it's certain that dogs and chocolate don't mix, different dogs react differently to the methylxanthines. And reactions can vary according to the age, size and overall health of the dog. The smaller the dog the smaller the dose needed to produce an effect.
And of course, if your dog's health is already weakened by other medical conditions, he's more susceptible. The same holds for older dogs..
Theobromine is present in differing amounts in different kinds of chocolate:
· White chocolate 1mg/oz
· Hot chocolate 12 mg /oz
· Milk chocolate 44-66 mg/oz
· Semi-sweet chocolate 260 mg/oz
· Dark chocolate 450 mg/oz (wow!)
· Baking/bitter chocolate or cocoa powder varies as much as 150-600 mg/oz.
**How much chocolate can a dog eat and survive?**
That depends in part on her weight.
Under 200 mg theobromine per kg body weight (91mg per lb) has not been observed to be fatal. A potentially lethal dose in a 16 pound. dog is only one pound of milk chocolate. Only two ounces of baking chocolate can cause serious problems in a 10-pound dog. People stop eating chocolate before getting to toxic levels, but dogs don't!
**What are the warning signs of a problem?**
Any dog who's eaten chocolate should be watched closely for symptoms, particularly smaller dogs, "seniors", and dogs with health problems. Symptoms may range from from vomiting and diarrhea to panting, excessive thirst and urination, hyperactivity, abnormal heart rhythm, tremors, seizures and even death in severe cases.
While white chocolate may not be as likely to cause a methylxanthine poisoning, the high fat content of lighter chocolates could still lead to vomiting and diarrhea, and possibly the development of life-threatening pancreatitis. Too much fatty food will also affect a dogs health in the same way it does ours, by packing on the pounds!
**What can be done once chocolate is ingested?**
Make note of the type of chocolate ingested and how much was eaten, if possible.
Theobromine will stay in the bloodstream between 14 and 20 hours. Within two hours of ingestion, try inducing vomiting unless your dog is over stimulated, comatose, or has lost the gag reflex.
If your dog has eaten a considerable amount of chocolate, or displays any of the above symptoms, take her to the vet right away. If her symptoms are minor, make her eat activated charcoal. The unabsorbed theobromine binds to it and be passed out of the system. (In a pinch, burnt - as in thoroughly blackened - toast will do.)
**Are there any other products I should worry about?**
Yes -- Cocoa Mulch!!
No, it's not chocolate, but the two products have something in common. They're both derived from the cocoa bean, and they're both hazardous to your dogs health.
Cocoa bean shells are a by-product of chocolate production and are popular as mulch for landscaping. Homeowners like the attractive color and scent, and the fact that the mulch breaks down into an organic fertilizer.
Some dogs are attracted to cocoa mulch, and will eat it in varying quantities. The coca bean shells can contain from 0.2% to 3% theobromine (the toxin ) as compaired to 1-4% in unprocessed beans.
Eating cocoa mulch has four possible outcomes. The most common is vomiting, in 50% of cases. Next most common, in 33% of cases, is tremors (shaking). And 17% end up with tachycardia (rapid heart rate), hyperactivity or diarrhea. The fourth outcome is no effect on the dogs health at all, and this is the result in 33% of cases.
Although only 16 cases were reported in approximately one year (the duration of the study), reports are on the increase. California accounts for about 2/3 of cases reported so far. Fortunately, there have been no reported fatalities, and getting your friend to the vet promptly will assure a happy outcome.
**What's the Bottom Line?**
Thanks to a more educated public, fewer fatalities from foods like chocolate are being reported these days.
Still, it pays to keep up with what's currently known about various foods and their effects on a dogs health and well being. Grapes and cocoa mulch, for example, were discovered only recently to have harmful effects.
If your dogs health is important to you (and I'm betting it is!), then keep him away from the chocolates on Valentine's Day and other holidays as well. And watch out year round for products made from the cocoa bean.
